1. Acceptance of Terms

By accessing or using Auction Stock Solution ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Auction Stock Solution provides auction stock management software including inventory tracking, buyer management, invoicing, and accounting integrations. The Service is provided on a subscription basis to registered organizations.

3. Account Registration

To use the Service, your organization must be registered by Auction Stock Solution. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account

4. Subscription and Payment

The Service is offered on a monthly subscription basis. By subscribing, you agree to:

• Pay all applicable fees as outlined in your subscription plan
• Provide valid payment information
• Accept automatic renewal of your subscription unless cancelled

Prices are quoted in South African Rand (ZAR) and are subject to change with 30 days notice.

5. Data Ownership and Privacy

You retain ownership of all data you upload to the Service. We will:

• Not sell or share your data with third parties except as required to provide the Service
• Implement reasonable security measures to protect your data
• Provide you with the ability to export your data at any time
• Delete your data upon account termination as per our data retention policy

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Upload malicious code or content
• Share your account credentials with unauthorized users
• Resell or redistribute the Service without authorization

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide reasonable notice of planned maintenance where possible.

8. Third-Party Integrations

The Service integrates with third-party services such as Xero and Paystack. Your use of these integrations is subject to the terms and conditions of those third parties. We are not responsible for the availability or functionality of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Auction Stock Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

10. Termination

Either party may terminate the subscription:

• You may cancel at any time; access continues until the end of your billing period
• We may terminate for breach of these terms with reasonable notice
• Upon termination, you may request export of your data within 30 days

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified terms.

12. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
